The Company is at a strategic inflection point and requires outside capital to execute on its well-defined growth strategy. The Company plans to use the proceeds to fund strategic acquisitions, increase marketing and development of its exciting new software platform, and fund a $5MM dividend to shareholders.
G2 was initially engaged to provide an assessment of the valuation of the business and explore potential options for financing. Subsequently, G2 was retained as the exclusive Financial Advisor to Janus in order to identify and engage multiple funding sources and assist with the evaluation and negotiation of the ultimate transaction.
In a competitive process, reaching out to over 50 investors, G2 approached a mix of senior debt and mezzanine investors, with capabilities to invest equity as well. G2 also included traditional commercial banks and untrenched lenders, to ascertain potential lower-priced financial options. Ultimately a subordinated debt and preferred equity solution is being structured to give management greater flexibility to execute the Company’s next stage of growth.
