ABOUT THE COMPANY:
Yandy LLC (“Yandy”) is a leading e-commerce retailer of specialty apparel including lingerie, costumes, and swimwear. Yandy also developed a proprietary e-commerce software including an order management and warehouse management system. The Company sells products on their website throughout the United States, and is based in AZ.
SITUATION:
Yandy’s growth plan and strategic initiative did not work, leaving revenue and EBITDA relatively unchanged. This lead to Yandy entering forbearance with their lender SPK Capital (“SPK”), the majority shareholder. SPK ran a majority recapitalization process, but was unsuccessful. SPK had to force another sale or majority recapitalization of Yandy to recoup their investment.
ENGAGEMENT:
G2 served as the exclusive sell-side advisor to Yandy, responsible for running a robust, hands-on sale process, which ultimately resulted in a sale to Playboy.
OUTCOME:
The transaction was successfully executed through a sale to Playboy, a leading creator of lifestyle content for distribution through their magazine, website, and television.
