The Company is a diversified specialty chemicals manufacturer with U.S. and European-based operations serving the Specialty / Personal Care, Industrial, Paints / Coatings, and Water Treatment end markets. The water treatment business is composed of non-chlorine-based solutions that use coagulation chemistry to extract impurities. Customers include municipalities, industrial treatment, and wastewater customers.

Situation
The Company was assessing strategic alternatives for the long-term sustainability of both its balance sheet and operations. In addition to several different initiatives, the Company was seeking to recapitalize its existing balance sheet to support growth initiatives and management’s long-term strategic plan.
Engagement
G2 served as a multi-year financial advisor, supporting several strategic initiatives within the company, as well as leading recapitalization as well as refinancing efforts across multiple levels of the capital structure. The client had unique and specific characteristics, driving the need for creative and sustainable solutions to support the success of the Company’s and ownership’s long-term planning
Outcome
During G2’s involvement, the Company successfully closed two recapitalization processes and successfully negotiated an antitrust settlement – the recapitalizations, one in 2017 and another in 2018 – which involved both new and existing investors. This sustainable structure allowed for a highly strategic exit process for the Company, management, and incumbent investors.
