Situation
Flash was majority owned by investment funds managed by Pinebridge Investments and Graycliff Partners. Flash has deepened its service capabilities throughout the hold period, expanded its global footprint, drove operational efficiencies, and generated significant earnings growth. The stakeholders sought to find a new partner to recapitalize the business and allow Pinebridge and Graycliff to realize their investments.
Engagement
G2 Capital Advisors, LLC (“G2”) was engaged by Flash as the exclusive sell-side advisor to lead a highly targeted and efficient sale process focused on identifying a partner to recapitalize the business.
Outcome
The transaction was successfully executed on December 13, 2022, through a majority recapitalization of Flash by Comvest Partners (“Comvest”). Flash will add to several platform investments that Comvest has made in the Transportation & Logistics and Managed Services segments.
