Situation
With technical success in the pilot phase, the Company sought to scale up production. A tightening funding environment and shifting macroeconomic conditions frustrated fundraising efforts, forcing ClearFlame’s board to explore insolvency options. The board wanted to find a way to maximize value for creditors and ensure the valuable technology that ClearFlame had been on the verge of commercializing would somehow live on.
Engagement
ClearFlame engaged G2 Capital Advisors, LLC (“G2”) to take the Company through an assignment for the benefit of creditors (“ABC”) process and run a robust M&A process in tandem. Leveraging deep expertise selling IP in renewable energy and other industrial technology sectors, G2 as ABC assignee led a targeted, accelerated process to identify a buyer aligned with ClearFlame’s mission. In parallel with the sale process, G2 managed a complex corporate wind down process.
Outcome
G2, as assignee, successfully completed the sale of the assets to an organization committed to commercializing ClearFlame’s innovative technology. The transaction G2 negotiated resulted in a significantly higher economic recovery than the secured creditor had expected.
By transitioning the technology to a new owner, ClearFlame’s groundbreaking offering will be able to advance under a better capitalized organization, positioning this environmentally important technology to forge key industry partnerships and unlock the next phase of growth.
