Randy Lay

Managing Director, Restructuring

Randy Lay is a Managing Director at G2 Capital Advisors, specializing in operational and financial restructurings. Randy has over 40 years of experience in financial and operational management, systems implementation, capital raising, restructuring, and M&A in the construction, chemical, retail, automotive, and telecommunications industries. 

Since joining G2, Randy is serving as CRO of a 140+ unit quick-service restaurant (QSR) franchise, where he monitored liquidity, supported operational improvements, and negotiated with lenders, franchisors, landlords, and suppliers on amendments to credit agreements and other critical matters in a challenging macroeconomic environment. Acting in both CRO and financial advisor roles, Randy has monitored liquidity, supported sale processes, and negotiated with key stakeholders to stabilize businesses and preserve value. He has also advised companies with international operations on navigating shifting government policies and provided strategic operational restructuring guidance to manufacturers in the pharmaceutical and biomedical industries. 

Prior to joining G2, Randy was the Executive Vice President and Chief Operating Officer of Williams Industrial Services Group, a supplier of civil construction services to the nuclear and fossil energy generation markets. In that role, he partnered with G2 as a client on a multi-mandate engagement that included the uplisting of Williams’ stock to a national exchange, a refinancing of the Company’s debt, and ultimately the sale of the business through a Chapter 11 §363 transaction. 

Before his time with Williams, Randy served as the Executive Vice President, Chief Financial Officer, Secretary, and Treasurer of GEO Specialty Chemicals, a diversified provider of high-value-added specialty chemicals. Over the course of three years, he worked closely with G2 as the client lead on a complex, multi-mandate restructuring. G2 supported GEO through the resolution of an antitrust matter, a refinancing, and ultimately the sale of the Company. 

Throughout Randy’s career, he has held pivotal financial and operational roles at organizations such as Lazydays RV, Universal Access, Metromedia Fiber Network, International Specialty Products, United Technologies, and Xerox. 

Currently, Randy is on the board of Friends of Joshua House, a Florida-based charity dedicated to creating a safe haven for children and teens in need. He is a past president of the Tampa Bay Chapter of Financial Executives International and a former ACG Tampa Bay board member. 

Randy earned a Bachelor of Arts in Political Science and Government and a Master of Business Administration from Boston University. 

Outside of the office, he and his wife, Betsy, are avid sailors. They divide their time between Connecticut and Florida and enjoy visiting their children and grandchildren, who live between California and London, England.
